Sara advises on investment structures, the drafting and negotiation of transaction documents as well as process management and the conduct of legal due diligence.
She also advises on company law, including in connection with the creation of enterprises, investments and warrant schemes.
- Sara acted for the owner of Danish lifestyle brand Konges Sløjd on the sale of a majority stake to international private equity fund 3i. The matter was particularly complex, as it was an intensive sales process.
- Sara has acted for IT Relation/itm8 for a number of years on its acquisitions in the Group as well as on the acquisition of Itadel and Cloud Teams from Maj Invest. The latter transaction involved liaising with DLA Piper in Prague and was particularly complex, as there were two separate, but parallel acquisitions from different vendors. Sara also acted on the sale of IT Relation to HgCapital and the most recent sale to Axcel.
- Sara acted for Polaris Private Equity on its acquisition of four Danish bus companies, Egons, Larsenbus, Papuga and Papuga Busser, which became Vikingbus in a subsequent merger. The transaction involved a major due diligence investigation, as the four companies consisted of over 40 group companies, as well as negotiations with the four individual vendors. The transaction was approved by the Danish competition authorities.
