Anna Berntorp
Anna Berntorp is an advisor to publicly listed companies and other businesses operating in regulated industries. She works broadly within regulatory compliance, with a primary focus on capital markets, corporate law, and foreign direct investments (FDI).
Anna leads DLA Piper in Sweden’s advisory work within ESG and helps clients navigate new and complex regulatory frameworks in the sustainability field. She has a particular focus on corporate governance matters and has extensive experience in issues related to board work, general meetings, ownership matters, as well as remuneration and incentive structures.
She has over ten years of prior experience working with M&A and capital markets transactions such as IPOs, takeovers, and public capital raisings. Anna regularly advises listed companies on ongoing securities law matters, including disclosure obligations, insider issues, and reporting requirements.
Anna has taught corporate law at Stockholm University and is a well-regarded and recurring speaker in her areas of expertise. She has been recognised as a “Next Generation Partner” in Capital Markets and a “Green Ambassador” by Legal 500.
- Advising NGM Nordic AIF listed alternative investment fund Skogsfond Baltikum AB (publ) on the divestment of all assets at a total value of approximately EUR 56 million, distribution of proceeds to investors, de-listing, and liquidation.
- Advising Svenska Nyttobostäder AB (publ) on its merger with ALM Equity AB (publ), both listed on Nasdaq First North Growth Market. Shares in Svenska Nyttobostäder were exchanged for new shares in ALM Equity, with a total merger consideration of approximately SEK 2.467 billion.
- Advising SynAct Pharma on a capital raise of up to SEK 49.2 million, structuring and executing three directed share issues determined by an accelerated book building procedure.
- Advising Karat, Inc., a US recruitment process company, on its acquisition of an AI system and related intellectual property from Hume Technology AB, a Swedish tech company.
- Advising Bankaktiebolaget Nordiska (publ) on its acquisition of the FinTech company Rocker AB (publ).
- Advising Worldline and its Swedish subsidiary Bambora on the acquisition of the card-acquiring business of the Swedish group Handelsbanken in Sweden, Norway, Denmark, and Finland.
- Advising one of the major shareholders of fintech company Tessin Nordic, an investment platform for alternative financing solutions for property developers, on its listing on Nasdaq First North Growth Market through a reverse takeover.
- Advising Stillfront Group AB (publ) in connection with its IPO on Nasdaq First North and subsequent transfer to Nasdaq Stockholm, as well as several capital raisings and M&A transactions.
- Advising Rizzo Group, a Nasdaq main market listed retail group within travel and accessories, on its partially secured rights issue of a minimum of SEK 130 million and a maximum of SEK 153 million.
- Advising MOMENT GROUP AB on its listing on Nasdaq Stockholm.
- Advising MOMENT GROUP AB on the listing of unsecured corporate bonds of SEK 200 million under a total framework of SEK 400 million on Nasdaq Stockholm.
- Advising Seafire AB (publ) on its listing on NGM Nordic MTF.
- Advising NGS Group AB (publ) on its listing on Nasdaq Stockholm.
- Advising Sportamore AB (publ) on its listing on Nasdaq Stockholm.
