DLA Piper Norway acted as advisor for Nye Borg Bryggerier Holding AS on their sale of 75% of the shares in Hansa Borg Bryggerier AS to Royal Unibrew A/S. After completion, Royal Unibrew will be the sole shareholder of Hansa Borg Bryggerier.

Hansa Borg Bryggerier is Norway’s second largest brewery and beverage company with four breweries throughout the country, and products ranging from beers to ciders, soft drinks, waters and wines for the Norwegian market. Hansa Borg Bryggerier AS was founded in 1997, after a merger between Hansa Bryggeri and Borg Bryggerier. 

Hansa Borg Bryggerier is expected to generate normalized revenue in 2022 of around NOK 1.4 billion. The transaction is based on an enterprise value of NOK 3.3 billion for 100% of Hansa Borg Bryggerier.

Nye Borg Bryggerier Holding A/S was advised by a DLA Piper team led by partner Sveinung Mjaugedal with support from Trym Heiskel BjørndalKjetil H. Johansen and Kaja Kaarby

Closing of the transaction is pending approval from the Norwegian Competition Authority which is expected during H1 2022.
